This Terms and Conditions document governs your use of the TimeCards AI mobile application, web portal, and chatbot services (collectively, the "Application") developed and hosted by AJS Cloud, LLC ("AJS Cloud", "we", or "the Company"). By using the TimeCards AI services, you agree to these terms.

1. Acceptance of Terms
By accessing and using the TimeCards AI Application, you (the "User") agree to comply with and be bound by the following terms and conditions. If you do not agree to these terms, you must not use the Application.

2. Description of the Service
TimeCards AI is a cloud-based Software as a Service (SaaS) platform designed to manage time and attendance, employee data, chatbot communication, and related services. The platform includes mobile apps, an Admin Web Dashboard, chatbot tools, and the TimeCardAI.com website, offering both employers ("Customers") and their employees ("End Users") tools for time tracking, communication, and workforce management.

3. Types of Users
• Customers: Entities (e.g., employers) who enter into an agreement with TimeCards AI to use the service.
• End Users: Employees or users authorized by the Customer to access and use the TimeCards AI services.
• Both Customers and End Users are collectively referred to as "Users" or "you."

4. Account Ownership
The Account Owner is the Administrator of a Customer's account. The Account Owner has full rights to manage data, create other users, and assign data access permissions. The Account Owner is responsible for all data entered into the system, including employee information and related content.

5. Data Privacy and Security
The Privacy Policy governs the collection, use, storage, and sharing of personal information. By using the Application, you acknowledge and agree to the data practices described in the Privacy Policy.
• Personal data may include contact details, employee information, location data for timekeeping, and other details entered by the Customer or End User.
• Location data, including GPS information, may be collected when using the TimeCards AI User App for attendance tracking, as for the use of chatbot as specified in the Privacy Policy.

6. User Obligations
• You agree to use the TimeCards AI Application for lawful purposes only.
• You are responsible for maintaining the confidentiality of your login information and are fully responsible for all activities that occur under your account.
• As a Customer, you must obtain all necessary consents from your employees (End Users) regarding the collection and processing of their personal data.
• You agree to comply with all applicable local, state, and federal laws, including labor laws, privacy regulations, and data protection laws in your jurisdiction.

7. Usage Restrictions
You may not:
• Modify, distribute, or decompile any part of the TimeCards AI platform.
• Attempt to gain unauthorized access to any part of the Application or the data within it.
• Use the Application in any manner that violates applicable laws or regulations.
• Use the Application for fraudulent, illegal, or unethical purposes.

8. Data Retention and Deletion
• TimeCards AI will retain your data as long as you are an active user of the Application.
• When you are no longer an active user, your personal data will be deleted in accordance with the organization's data retention policies.
• If you wish to request the deletion of your data, please contact your Account Owner or the Company.

9. Third-Party Services
The Application may contain links or access to third-party websites or services ("Third-Party Services"). TimeCards AI is not responsible for the content, privacy policies, or practices of these third parties. You acknowledge that TimeCards AI has no liability for your use of these Third-Party Services.

10. Payment and Subscription
• The TimeCards AI platform, including chatbot features, may be subject to subscription fees as outlined in the agreement between you and the Company. This includes access to the chatbot product, which is available to Customers through purchase.
• Subscription plans, fees, and payment terms are detailed on the TimeCards AI website or within the application itself.
• All payments for services should be made in accordance with the terms provided by AJS Cloud, and Users must ensure that payments are up to date to avoid service interruption.

11. Disclaimers and Limitation of Liability
• TimeCards AI provides the platform "as-is" and disclaims any warranties or guarantees regarding its availability, accuracy, or fitness for a particular purpose.
• TimeCards AI is not liable for any loss of data, downtime, or other issues related to the use of the Application.
• TimeCards AI does not guarantee that the Application will be uninterrupted or error-free, and will not be liable for any direct, indirect, or consequential damages arising from such interruptions.
• In no event shall TimeCards AI’s liability exceed the total amount paid by the User for the service in the last 12 months.

12. User Content and Ownership
• You retain ownership of your data, including personal data and any other content entered into the TimeCards AI platform ("User Content"). However, by using the platform, you grant TimeCards AI a limited, non-exclusive, royalty-free license to process and store your User Content as required to provide the Services.
• TimeCards AI may use aggregated, anonymized data for internal purposes, research, or analytics, but such data will not include any personally identifiable information.

13. Governing Law and Dispute Resolution
• These Terms and Conditions shall be governed by the laws of the jurisdiction in which AJS Cloud LLC operates, without regard to conflict of law principles.
• Any disputes arising from these terms shall be resolved through binding arbitration. You agree that arbitration will be the exclusive means of resolving disputes between you and AJS Cloud.

14. Modification of Terms
• TimeCards AI reserves the right to modify, update, or amend these Terms and Conditions at any time. You will be notified of any significant changes, and continued use of the Application after such modifications will constitute your acceptance of the updated Terms.
• It is your responsibility to review these Terms periodically for updates.

15. Termination of Service
• TimeCards AI reserves the right to suspend or terminate access to the Application at any time for violation of these Terms, failure to comply with applicable laws, or other reasons as determined by the Company.
• Upon termination, Users will no longer have access to the Application or any of their data unless otherwise specified in the agreement.

16. Force Majeure
TimeCards AI shall not be held liable for failure or delay in performing any obligations under these Terms if such failure or delay is due to circumstances beyond the Company’s reasonable control, including, but not limited to, acts of God, war, terrorism, government regulations, strikes, power failures, and technical difficulties.

Acknowledgment and Acceptance
By using the TimeCards AI platform, including the chatbot service, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. If you do not agree with any part of these Terms, please discontinue your use of the Application.
